Immigrant Buddies - Terms of Use

Immigrant Buddies ("Immigrant Buddies," "we," "us," "our") is a registered 501(c)(3) nonprofit. These Terms of Use, together with our Privacy Policy, govern your access to and use of our services, programs, and offerings, including our websites and mobile applications, any communications and outreach, activities, and in-person events, and any facilitation of connections between immigrants and mentors or friends (collectively, the "Services"). Our websites and mobile applications are referred to in these Terms as the "Platforms" and are part of the Services.

These Terms apply to all visitors and users of the Platforms whether or not you create an account. If you have any questions, please contact us at info@immigrantbuddies.com.

By using or accessing the Platforms, you agree to these Terms, as updated from time to time. Because Immigrant Buddies provides a wide range of services, we may at times ask you to review and accept supplemental terms that apply to your interaction with a specific product or service. If you do not agree to these Terms, do not use the Platforms or Services.

Account Registration. To access some features of the Platforms, it may be necessary to register for an account. When you register for an account, we may ask you to give us certain identifying information about yourself, including but not limited to your email address and other contact information, and to create a user name and password ("Registration Information"). When registering for and maintaining an account, you agree to provide true, accurate, current, and complete information about yourself. You also agree not to impersonate anyone, misrepresent any affiliation with anyone else, use false information, or otherwise conceal your identity from Immigrant Buddies. You are responsible for maintaining the confidentiality and security of your account, your password and other Registration Information. For your protection and the protection of other users, we ask you not to share your Registration Information with anyone else. If you do share this information with anyone, we will consider their activities to have been authorized by you. If you have reason to believe that your account is no longer secure, please notify us at info@immigrantbuddies.com. We reserve the right to refuse, reject, suspend, or terminate any account at our discretion, subject to applicable law.
Account Security. To use the Services, you must be at least eighteen (18) years of age, have not previously been suspended or removed from the Services, and use the Services only in compliance with all applicable laws and regulations. If you create an account, you are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account.
Volunteer Nature of Immigrant Buddies; No Professional Advice; No Agency. Mentors and friends who use our Services are volunteers and are not employees, contractors, agents, or representatives of Immigrant Buddies. Immigrant Buddies does not supervise or control any off-platform conduct, statements, or actions. The Services are provided for informational and community-support purposes only and do not provide legal advice, immigration advice, tax advice, financial advice, medical advice, or professional services of any kind. Our Services are based on humanitarian need and do not constitute an attempt to alter, conceal, or facilitate any individual's legal standing in the United States. While we may facilitate introductions, we do not control or direct individual interactions (online or offline), and we are not responsible for the acts or omissions of any user or volunteer.
In-Person Interactions; Safety; Assumption of Risk. The Services may facilitate connections that lead to in-person meetings, transportation, and other activities. You acknowledge that any interactions may carry inherent risks and that Immigrant Buddies cannot and does not guarantee your safety or the outcome of any interaction. You are solely responsible for your interactions with other users. Use common sense and take appropriate safety precautions including when deciding whether to meet in person and under what circumstances. Immigrant Buddies is not an emergency service. We do not conduct background checks, driving-record checks, or identity verification on individuals unless expressly stated otherwise, and we do not endorse any users. To the maximum extent permitted by law, you assume all risks arising out of your use of the Services and interactions with other users, including in-person interactions and transportation.
Prohibited Conduct. You agree not to:
1. Use the Platforms for any illegal purpose, or in violation of any local, state, national, or international law. For example:
  1. Stalk, harass, threaten other users;
  2. Engage in exploitation, coercion, trafficking, or any conduct that poses a risk of harm to another person's safety or fundamental rights;
  3. Harm Immigrant Buddies or its users in any way.
2. Use the Platforms for purposes not permitted by this agreement.
3. Violate or encourage others to violate the rights of Immigrant Buddies or any third parties, including intellectual property rights.
4. Post, upload, or distribute any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate.
5. Interfere in any way with security-related features of the Services.
6. Interfere with the operation or any user's enjoyment of the Services, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code, making unsolicited offers or advertisements to other users, or attempting to collect personal information about users or third parties without their consent.
7. Access, monitor, or copy any content or information of the Platforms using any robot, spider, scraper, or other automated means or any manual process for any purpose without Immigrant Buddies' express written permission.
8. Perform any fraudulent activity, including impersonating any person or entity, claiming false affiliations, accessing the accounts of other users without permission, or falsifying your identity or any information about you, including age or date of birth.
9. Sell or otherwise transfer the access granted herein.
10. Use our Services as a dating app. You must respect boundaries with other users you meet through our Services.
11. Solicit money or any other financial compensation from any connections you make through our Services.
12. Engage in exploitation, coercion, trafficking, or any conduct that poses a significant risk of harm to another person's safety or fundamental rights.
Electronic Communications, Alerts, Notifications. As part of the Services, you may receive electronic communications regarding our Services. Where required by applicable law, we will seek consent for marketing text messages or calls to you. As outlined in our Privacy Policy, to opt-out of certain marketing communications, you may click on the "unsubscribe" link or opt-out contained at the bottom of any marketing email we send you. If you receive SMS/text messages from us and do not wish to receive future text messages, text STOP in response to any text message received.
Third Party Content. The Services may contain links to third party websites and services including for your convenience. Immigrant Buddies does not control, endorse, or assume responsibility for any third-party websites or services, including their content, policies, or practices. Your access to and use of any third-party websites or services is at your own risk.
Intellectual Property. You acknowledge and agree that any ideas, feedback, or suggestions that you submit to Immigrant Buddies through our Services are non-confidential and you grant us a perpetual license to use them without restriction or any compensation to you. Our Platforms are protected by applicable copyright and other intellectual property laws, and no materials may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without our express permission. All trademarks and service marks on the Platforms and Services belong to Immigrant Buddies, except third-party trademarks or service marks, which are the property of their respective owners. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platforms and Services for your personal, non-commercial use. We reserve all rights not expressly granted.
User Content. You represent and warrant that you own or otherwise have the necessary rights and consents to use, post, or provide any content (for example, photos, messages, profile information, and other materials, including any information about other individuals) that you choose to submit or post to the Services (collectively, "User Content"). As between you and Immigrant Buddies, you retain ownership of your User Content to the extent you have such rights. You grant Immigrant Buddies a worldwide, non-exclusive, royalty-free license to host, store, reproduce, use, display, distribute, modify, and create derivative works of your User Content as reasonably necessary to maintain, improve, promote, and operate the Services, including for fundraising and marketing consistent with the Privacy Policy and any releases/consents you provide. You may request removal of certain User Content by contacting us at info@immigrantbuddies.com, but we do not guarantee removal in all cases.
Donations. By submitting a donation through the Services, you agree to make a voluntary charitable contribution to Immigrant Buddies in the amount you select, plus any applicable processing fees (if disclosed to you at the time of donation).
Method of Payment. You may make a donation by credit card or any other method of payment we may make available to you (each, a "Method of Payment"). To complete a donation, you must provide us with valid credit card and/or other billing information and authorize us (or any third-party payment service provider engaged by us) to charge your Method of Payment for the donation amount (and any disclosed fees). YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE ANY CREDIT CARD(S) OR OTHER PAYMENT METHOD(S) UTILIZED IN CONNECTION WITH ANY DONATION. By submitting such information, you grant us the right to provide such information to third parties for purposes of facilitating the completion of transactions initiated by you or on your behalf. Verification of information may be required prior to the acknowledgment or completion of any transaction.
Indemnification. You agree that you will be personally responsible for your use of the Services, and you agree to defend, indemnify, and hold harmless Immigrant Buddies from and against any and all claims, liabilities, damages, losses, and expenses (including attorneys' and accounting fees and costs), arising out of or in any way connected with (i) your access to, use of, or alleged use of the Services; (ii) your violation of the Terms or any applicable law or regulation; (iii) your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (iv) any disputes or issues between you and any third party. Immigrant Buddies reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.
Termination. If you violate these Terms, your permission to use the Services will automatically terminate. In addition, Immigrant Buddies, in its sole discretion, may suspend or terminate your user account and/or suspend or terminate some or all of your access to the Services at any time, with or without notice to you. Following termination or account deletion, you may lose access to your account and certain information through the Services. We may retain and use personal information as described in our Privacy Policy (including for legal, security, fraud-prevention, dispute resolution, and compliance purposes). If you believe your account was wrongfully terminated or would like to delete your account, you may contact us at info@immigrantbuddies.com. If you encounter inappropriate conduct, harassment or bad behavior, we encourage you to report the instance via our Contact Us in-platform support messaging or to info@immigrantbuddies.com. We will review the report to determine if suspension or termination of the perpetrator's account is required.
Modification of the Terms. Immigrant Buddies reserves the right at any time to modify these Terms and to impose new or additional terms or conditions on your use of the Services. Such modifications and additional terms and conditions will be effective immediately upon notice and incorporated into these Terms. We will make reasonable efforts to notify you of any material changes to the Terms as required by law, including, by posting a notice to our website or by sending an email. Your continued use of the Platforms following notice will be deemed acceptance of any modifications to the Terms.
Modification of the Services. Immigrant Buddies reserves the right to modify or discontinue, temporarily or permanently, some or all of the Platforms or Services at any time without any notice or further obligation to you. You agree that Immigrant Buddies will not be liable to you or to any third party for any modification, suspension, or discontinuance of any of the Platforms or Services.
Disclaimers of Warranties. The Platforms are provided "as is" and on an "as available" basis, without warranty or condition of any kind, either express or implied. Any information provided through the Platforms is for general informational purposes only and is not guaranteed to be accurate or complete; any reliance is at your own risk. Although Immigrant Buddies seeks to maintain safe, secure, accurate, and well-functioning services, we cannot guarantee the continuous operation of or access to the Platforms and Services, and there may at times be inadvertent technical or factual errors or inaccuracies. Immigrant Buddies specifically (but without limitation) disclaims (i) any implied warranties of merchantability, fitness for a particular purpose, quiet enjoyment, or non-infringement; and (ii) any warranties arising out of course-of-dealing, usage, or trade. You assume all risk for any/all damages that may result from your use of or access to the Platforms. Immigrant Buddies does not guarantee the accuracy of, and disclaims all liability for, any errors or other inaccuracies in the information, content, recommendations, and materials made available through the Platforms. By using the Services, all users acknowledge that they are solely responsible for their compliance with U.S. law.
Limitation of Liability. In no event will Immigrant Buddies be liable to you for any incidental, special, consequential, direct, indirect, or punitive damages, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, whether or not Immigrant Buddies has been informed of the possibility of such damage. Some jurisdictions do not allow the disclaimer of warranties or limitation of liability in certain circumstances. Accordingly, some of the above limitations may not apply to you.
Governing Law. These Terms are governed by the laws of the United States and the State of Texas, without regard to conflict of law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and Immigrant Buddies agree to submit to the exclusive personal jurisdiction of the state courts and federal courts located within Fort Bend County, Texas, for the purpose of litigating any such disputes.
General.
1. Entire Agreement. These Terms, together with the Privacy Policy, and the Community Guidelines, constitute the entire and exclusive understanding and agreement between you and Immigrant Buddies regarding your use of and access to the Platforms, and except as expressly permitted above may only be amended by a written agreement signed by authorized representatives of the parties.
2. No Waiver. The failure to require performance of any provision shall not affect our right to require performance at any time thereafter, nor shall a waiver of any breach or default of the Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself.
3. Paragraph Headers. Use of paragraph headers in the Terms is for convenience only and shall not have any impact on the interpretation of particular provisions.
4. Severability. In the event that any part of the Terms is held to be invalid or unenforceable, the unenforceable part shall be given effect to the greatest extent possible and the remaining parts will remain in full force and effect.
